They obviously think they have a case against you. So they are giving you a way out from being prosecuted: basically accept the caution which is a formal warning or go to court in which case, if you're convicted, you end up with a criminal conviction on your record.

You have a couple of options: accept the caution and that should be the end of the matter or call their bluff by rejecting it. Then the police will either drop the case if they have no evidence or charge you if they do.
