So to be clear and to put us back on track we need the owners in the form of the Residents Association to sign a management agreement based on the same or suitably amended Memorandum & Articles of Association (Change the name etc.).
If so do we need all 10 to sign up?
Will the contract be between the Directors of the dormant Freehold company (10 Owners) and the Members of the Residents Association (The same 10 Owners) ?
We really don't want to incorporate the Residents Association if the above proposal will suffice.

Would you have a suitable template that we could amend as necessary that contains the usual legalease to underpin a Management Agreement?
Obviously we need the basic rules under which the Residents Association would conduct the business of the Freehold company.
Have you found and documents that might form the basis of the Management Agreement?
