You would need to register a new company limited by guarantee as you may not convert a company limited by shares into a company limited by guarantee.

It is far easier and cheaper to register a new company limited by guarantee as a not for profit company.

If there are any matters which need to be transferred to the new company, a contract may be entered into between both companies transferring these matters to the new company.
