if a board takes a vote of no confidence in the Chairman does the Chairman get to vote in that motion?

I am a company law expert.

The normal position is that under S.175 of the Companies Act 2006 a director has a duty to avoid a conflict of interest.

On that basis this director should not be voting in this vote. However you need to check the articles of association as they sometimes allow directors to vote on a resolution in which they have an interest.

If the director keeps deadlocking the vote, then it may be prudent to turn to the shareholders and allow them to decide whether the director should be removed or not.
