There I was about to go into a partnership with someone

Hi there
I was about to go into a partnership with someone and decided not to as he came up with few not acceptable clauses for the management agreement.
We do have a company set up and a business bank account on the company name.
As both directors. The partnership consists in he is the lease holder on the premises which I would have a sub let contract on the company name. And I would invest on the propert and make business work (its a hairdressers and spa). He closed down his previous bunisness to do so. Is there any legal procedure I should follow to finish this partnership? Theres no contracts signed. (Rental and agreement)
