The management company owning the freehold to my flat wants to sell it. There are two flats. Is it true that legally both flat owners have to agree to who will own the freehold?

Yes. There needs to be a majority of qualifying tenants in agreement. If there are only 2 flats then you and the other flat owner must agree.
