in German law, is the estoppel argument a strong one & can one not go behind it if there is a signed agreement on what is balance agreed between the two companies?

The estoppel argument is the argument when everything else fails.

It is called Treu und Glauben and the law is 242 BGB( Civil Law)

In your case it could be kind of a promissory estoppel.

But as you have a signed agreement you may not need the estoppel argument.

Signed agreements are normall legally binding, because they are contracts.

If they are not youncan work with the estoppel argument, i.e. promissory estoppel
